ARTICLE 13     MISCELLANEOUS

     13.1  Conflict.  In the case of any conflict between the Articles of Incorporation and these Bylaws, the Articles

               shall control; and in the case of any conflict between the Declaration and these Bylaws, the Declaration

               shall control.

CERTIFICATE OF AMENDMENT OF BYLAWS OF WEST ALMANOR COMMUNITY CLUB

         I, the undersigned, hereby certify that:

              I am the Secretary of WEST ALMANOR COMMUNITY CLUB.

              The foregoing Amended Bylaws of WEST ALMANOR COMMUNITY CLUB were duly approved

               by the Board of Directors on the third day of August, 1998.

               The foregoing Amended Bylaws of WEST ALMANOR COMMUNITY CLUB were duly approved

                by the requisite vote on the twenty-second day of July, 1998.

               Executed this seventh day of August, 1998.
